Preamble

We, the members of Shades of Yellow, establish this constitution to manage, advocate, and support our members educationally, culturally, and socially, which will govern our actions and procedures, within this organization.

Article 1. Name of Organization
|

This organization shall be known as Shades of Yellow, henceforth referred to as SOY, of the Twin Cities, Minnesota.
|
|
Article 2. Purpose of Organization
|

This Organization shall exist to serve the SOY members, GLBT community, Allies and the greater Hmong community.
|
|
Article 8. Existence
|

If SOY for any reason would cease to exist, all funds are to be frozen in the OutFront Minnesota account until SOY recovery as an organization or when another organization develop holding similar mission and goals as SOY.

Article 9. Amendments
|

Ratification of the Constitution will require a 2/3 approval by the members present at SOY’s meeting and recognition by the Executive Board. Any member in good standing may make proposed amendments to the By-Laws which must be submitted in writing to the Board. If approved by the Board, the proposed amendment to the By-Laws will be submitted to the general membership. Any approved by law amendment shall become effective upon approval, unless a later effective date is otherwise included in the amendment.
